In short: this website is for information only. Our sourcing services are provided only under a separate, signed Sourcing Services Agreement.
1. Acceptance of these terms
These Website Terms of Use ("Terms") govern your use of the PivotPoint LLC website (the "Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site. Our Privacy Policy explains how we handle personal information.
2. Information only, not an offer
The Site is for general information about PivotPoint's sourcing services. Nothing on the Site is an offer, a binding quotation, or a promise of any price, availability, lead time or result. Fees shown on the Site are our currently published fees. The fees for any engagement are those stated in a written quotation from PivotPoint, valid for the period stated in that quotation. Any information on duties, tariffs, freight, certifications or product compliance is general background only. It is not legal, customs, tax or regulatory advice, and it may change without notice.
3. Our services are governed by a separate agreement
Sourcing services are provided only under a separate written Sourcing Services Agreement (and any related order form or non-disclosure agreement) signed by you and PivotPoint. If there is any conflict between these Terms and a signed agreement, the signed agreement controls. Contacting us, or receiving a free quote review, does not create a client relationship, an agency, or any obligation for either party to do business.
4. No guarantee of supplier performance
PivotPoint is a sourcing agent. It is not a manufacturer, seller, customs broker, testing laboratory, inspection company or carrier, and it does not guarantee the performance, quality, delivery, solvency or legal compliance of any supplier or third party. Purchase contracts for products are made between the buyer and the supplier.
5. Intellectual property
The Site and its content, including text, layout, graphics and the PivotPoint name and logo, are owned by PivotPoint LLC or its licensors and are protected by intellectual-property laws. You may view and print pages for your own internal business use. You may not copy, republish, modify or commercially exploit Site content without our prior written permission.
6. Acceptable use
You agree not to:
- use the Site for any unlawful, fraudulent or misleading purpose;
- send us false information, or content you have no right to share;
- send spam or malware to us;
- attempt to gain unauthorized access to, disrupt or overload the Site or related systems; or
- scrape or harvest content or contact details from the Site.
When you send us a supplier quotation or other material, you confirm that you are entitled to share it with us. Please do not send information you consider confidential until we have signed a non-disclosure agreement with you.
7. Third-party services and links
Contacting us through the Site uses third-party services that you choose, such as your own email app and provider or WhatsApp. The Site may also link to third-party websites. We do not control these services or websites and are not responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.
8. Disclaimers
The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.
9. Limitation of liability
To the fullest extent permitted by law, PivotPoint LLC and its members, managers and personnel will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of, or inability to use, the Site. Our total liability for any claim relating to the Site will not exceed US$100.
This Section applies to use of the Site only. Liability for sourcing services is governed exclusively by the signed Sourcing Services Agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnity
You agree to indemnify and hold harmless PivotPoint LLC and its members, managers and personnel from any claims, losses and reasonable costs (including attorneys' fees) arising from your breach of these Terms, or from material you send us that infringes the rights of others.
11. Governing law and disputes
These Terms are governed by the laws of the State in which PivotPoint LLC is organized, without regard to conflict-of-laws rules. Any dispute relating to the Site will be brought exclusively in the state or federal courts located in that State, unless the law that applies to you requires otherwise.
12. Changes and general terms
We may update these Terms from time to time by posting a revised version on this page and changing the "Last updated" date. Your continued use of the Site after a change means you accept the revised Terms. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
